Terms & Conditions

Monzum Consulting LLC d/b/a Monzum

Effective Date: October 13, 2026 | Last Updated: October 13, 2026

PLEASE READ THESE TERMS CAREFULLY. SECTION 31 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT, JURY-TRIAL WAIVER, AND CLASS/COLLECTIVE-ACTION WAIVER, SUBJECT TO EXPRESS EXCEPTIONS, CALIFORNIA PUBLIC-INJUNCTIVE-RELIEF RIGHTS, AND A 30-DAY OPT-OUT PROCEDURE.

AFFIRMATIVE ACCEPTANCE IS REQUIRED FOR THE ARBITRATION AGREEMENT.

1. Agreement and Affirmative Acceptance

These Terms and Conditions (“Terms”) are between you and Monzum Consulting LLC d/b/a Monzum unless a specific Service identifies another MONZUM legal entity and expressly states that it is the contracting party (“MONZUM,” “we,” “us,” or “our”). These Terms govern consumer use of websites, job boards, recruiting assistance, Drivers Lounge, MONZUM Media consumer content, stores, subscriptions, mobile applications, and other consumer Services that link to these Terms.

Where a Service asks you to check a box, click “Agree,” complete checkout, create an account, submit an application/request containing a Terms acceptance, or otherwise affirmatively accept these Terms, your acceptance forms a binding agreement. Mere browsing alone is not relied upon as acceptance of the arbitration agreement in Section 31. If you do not agree to the applicable Terms, do not complete the transaction or acceptance flow.

Business carriers, advertisers, agencies, vendors, and other commercial users are subject to separate Business Services Terms or a signed commercial agreement. Section 31’s AAA Consumer Rules are not intended to govern disputes arising solely from a commercial business account.

2. Eligibility and Accounts

You must be legally capable of entering into these Terms. Driver recruiting, job applications, paid subscriptions, purchases, paid creator contracts, and other specified Services may require you to be at least 18 years old or the age of majority where you live. You must provide accurate information and protect account credentials. Notify MONZUM promptly of suspected unauthorized access.

3. Changes to Services and Terms

We may modify, suspend, discontinue, or add Services and may update these Terms for law, security, technology, business, or product changes. We will provide notice and obtain new consent when required. A material change to Section 31 will not apply retroactively to a dispute for which a Notice of Dispute, arbitration demand, or lawsuit was already filed before the change became effective, unless both parties agree otherwise.

4. Job Board, Recruiting, and Carrier Marketplace

MONZUM provides recruiting, advertising, job-discovery, pre-qualification support, and related services. Unless a separate signed agreement states otherwise, MONZUM is not the employer, motor carrier, final hiring authority, background-screening agency, or guarantor of a job, compensation, route, home-time schedule, orientation result, lease-purchase result, safety qualification, or employment relationship.

Job descriptions, pay ranges, schedules, bonuses, routes, benefits, equipment, and hiring criteria may be supplied by carriers or recruiting partners and may change. Confirm material terms with the hiring carrier before relying on them. Submitting information does not guarantee an interview, offer, hire, lease, placement, or particular outcome.

5. Sponsored Listings, Paid Placement, and Earnings Claims

  • Some listings, search placements, or promotions may be sponsored, featured, or paid. MONZUM will disclose paid placement where required by law or where necessary to avoid deception. Paid placement does not constitute MONZUM’s endorsement of the carrier or guarantee that the listing is the best or most suitable opportunity.

  • Carriers and advertisers are responsible for ensuring pay, bonus, home-time, savings, fuel, earnings, and other objective claims are truthful, current, and supported by a reasonable basis. Pay figures may be averages, ranges, estimates, gross revenue, or examples and are not a guarantee of individual earnings. Drivers should verify compensation methodology, deductions, expenses, qualifications, and applicable terms directly with the carrier.

6. MONZUM Media, Synthetic Content, and Entertainment

Entertainment content may be fictional, dramatized, comedic, documentary, animated, AI-assisted, synthetic, digitally altered, or creator-produced. Unless expressly identified otherwise, it is not professional legal, medical, financial, safety, or employment advice. MONZUM may label synthetic or materially altered content where required by law or reasonably necessary to avoid deception.

Content availability may change because of territorial licenses, rights expirations, business decisions, sanctions, age restrictions, app-store rules, payment availability, or technical issues. Unless a paid offer expressly promises otherwise, MONZUM does not guarantee that a title, creator, episode, feature, or catalog item will remain available for a particular period or in every country.

7. User and Creator Content; AI Training

If a Service lets you submit content (“User Content”), you retain rights you lawfully hold. You grant MONZUM a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, reproduce, encode, transcode, adapt for technical formatting, distribute, display, perform, promote, moderate, and make User Content available as reasonably necessary to operate, market, secure, and provide the applicable Service and as otherwise provided in a separate creator/license agreement.

You represent that you hold all necessary rights, releases, consents, and licenses. Separate creator, production, talent, revenue-share, or content-license agreements control if they conflict with this section. Uploading User Content does not, by itself, grant MONZUM permission to train a general-purpose artificial-intelligence model on that content. Any general-purpose model-training right must be granted in a separate express creator agreement or other clear authorization.

8. Subscriptions, Auto-Renewal, Cancellation, and App Stores

If MONZUM offers subscriptions, recurring plans, rentals, products, or digital purchases, checkout will disclose the then-current price, billing frequency, renewal terms, material limitations, and cancellation method. You authorize the disclosed charge when you complete the transaction. For automatically renewing plans, MONZUM will obtain affirmative consent, retain proof of that consent, provide reminders/notices required by applicable law, and provide legally required cancellation methods.

Where California law applies, MONZUM will configure annual reminders and applicable renewal/trial/price-change notices and cancellation functionality consistent with current Automatic Renewal Law requirements. Users must be able to cancel through the legally required method, including the same communication method used to enroll or ordinarily interact where required.

If you purchase through Apple, Google, Roku, Amazon, or another app-store/platform billing system, that platform may process payment, refunds, renewals, and cancellation under its own terms. Supplemental app-store terms or an app-specific EULA may apply and will be published before app launch.

9. Payments, Billing, Currency, Taxes, and Payment Security

MONZUM may make one or more payment methods available depending on the applicable product, service, transaction, geographic location, account type, and payment provider. Supported methods may include Visa, Mastercard, Discover, Apple Pay, PayPal, cryptocurrency payments processed through BitPay, ACH or other direct bank payment or direct-deposit methods where applicable, wire transfer, cashier’s check, and other methods expressly approved by MONZUM. Not every payment method is available for every transaction, service, user, or jurisdiction.

Credit-card, debit-card, digital-wallet, PayPal, and cryptocurrency transactions may be processed by independent third-party payment providers. Those providers may impose their own terms, privacy practices, identity-verification procedures, transaction limits, fraud controls, geographic restrictions, fees, or other requirements. MONZUM may add, remove, suspend, or restrict payment methods where reasonably necessary for security, fraud prevention, operations, processor requirements, sanctions, regulatory obligations, or geographic availability.

Prices may be displayed in U.S. dollars or another supported currency. A bank, card issuer, digital-wallet provider, app store, payment processor, or digital-asset provider may apply exchange rates, foreign-transaction charges, network fees, transfer fees, or other charges outside MONZUM’s control. You are responsible for taxes, duties, VAT, GST, and similar charges except to the extent MONZUM is legally required to collect or remit them.

MONZUM does not intend to store full payment-card numbers, card verification values, private cryptocurrency keys, seed phrases, or similar sensitive payment credentials on MONZUM-controlled systems except where expressly disclosed and lawfully implemented. Payment-card processing should be handled through secure, tokenized, or processor-hosted methods appropriate to the applicable payment architecture.

A payment is not considered completed merely because a payment instruction has been submitted. MONZUM may wait for processor authorization, settlement, clearance, blockchain confirmation, bank confirmation, verification of a cashier’s check, or other reasonable confirmation before treating an obligation as paid or delivering applicable goods, subscriptions, services, licenses, commissions, or benefits.

Where MONZUM permits payment by ACH, direct bank transfer, wire transfer, cashier’s check, or another manually initiated payment method, the payer is responsible for using the payment instructions supplied by MONZUM and verifying those instructions before initiating payment. MONZUM may require funds to clear before fulfillment. Bank, intermediary, transfer, or receiving fees are the responsibility of the party charged those fees unless MONZUM agrees otherwise in writing.

MONZUM may refuse, cancel, hold, reverse where permitted, or require additional verification for a transaction when reasonably necessary to address suspected fraud, account compromise, incorrect payment information, duplicate payments, chargeback abuse, sanctions or export restrictions, processor requirements, or legal obligations. Nothing in these Terms eliminates any payment, refund, dispute, or card-network right that cannot lawfully be waived.

10. Digital-Asset / Cryptocurrency Payments — BitPay

When cryptocurrency payment is offered, MONZUM currently uses BitPay as its third-party cryptocurrency payment processor. BitPay’s own terms, privacy practices, supported assets, transaction requirements, geographic restrictions, compliance controls, and processing rules may also apply. Cryptocurrency availability may vary by transaction, asset, blockchain network, wallet, jurisdiction, and processor support.

Customers may be directed to a BitPay-hosted or BitPay-enabled payment flow to complete a cryptocurrency transaction. MONZUM will not treat a cryptocurrency payment as successfully completed until the applicable payment status has been confirmed through the approved processor workflow. Expired invoices, failed payments, underpayments, overpayments, unsupported assets or networks, and other exception states may be handled according to BitPay’s then-current processing rules and MONZUM’s applicable policies.

MONZUM does not provide a cryptocurrency wallet, exchange, brokerage, custody service, investment service, lending service, staking or yield product, or money-transmission service merely because MONZUM permits customers to pay for goods or services using cryptocurrency through BitPay.

Digital-asset values can change rapidly, and blockchain transactions may be irreversible. You are responsible for verifying the supported asset, blockchain network, wallet or payment address, payment amount, network fees, and transaction details before sending a transaction. MONZUM is not responsible for assets sent to an unsupported network or incorrect address to the extent the loss was not caused by MONZUM.

A cryptocurrency refund arising from an ordinary purchase will be issued only when a refund is permitted under MONZUM’s controlling Returns, Refunds, Custom Orders & Final Sale Policy or when required by applicable law. If an approved electronics refund involves a cryptocurrency purchase, the refund may be based on the fiat purchase value recorded for the transaction and processed through BitPay or another lawful method available to MONZUM. The quantity of digital asset returned may differ from the quantity originally sent because of exchange-rate movement, conversion, network, gas, miner, or processor refund fees and then-current processor rules. MONZUM does not guarantee the future value or exchange rate of any digital asset.

Mistaken, Duplicate, Excess, or Misdirected Cryptocurrency Payments. This provision is separate from MONZUM’s merchandise return policy. It applies when MONZUM or its approved cryptocurrency payment processor receives an unsolicited, duplicate, misdirected, overpaid, or otherwise erroneous cryptocurrency transfer that exceeds the amount legitimately owed for the applicable invoice or transaction.

A person requesting recovery of an erroneous cryptocurrency payment must complete MONZUM’s reasonable verification process before any refund or return of funds will be issued. Verification may include the transaction hash, invoice or order number, sending-wallet information, proof of control of the sending wallet, government-issued identification where reasonably required, contact verification, sanctions or fraud screening, and other information reasonably necessary to confirm ownership, prevent fraud, satisfy processor requirements, or comply with applicable law. MONZUM may delay a refund while verification or compliance review remains incomplete.

For an erroneous cryptocurrency payment of fifty U.S. dollars ($50.00) or less, measured by the U.S.-dollar value credited or recorded for the transaction, MONZUM may return the recoverable amount after verification, less any actual blockchain network, gas, miner, conversion, processor, or refund fees incurred in returning the funds. If applicable fees equal or exceed the amount otherwise refundable, the payment may be economically non-refundable to the extent permitted by law and processor rules.

For an erroneous cryptocurrency payment greater than fifty U.S. dollars ($50.00), MONZUM may deduct the same actual network, gas, miner, conversion, processor, or refund fees and, when the error requires manual investigation, reconciliation, compliance review, wallet verification, accounting correction, special handling, or other recovery work beyond the ordinary automated payment-exception process, MONZUM may also retain an administrative recovery charge of up to twenty percent (20%) of the amount otherwise refundable, to the fullest extent permitted by applicable law. The administrative recovery charge is not automatically 20%; MONZUM may assess a lower amount or waive it depending on the work, delay, operational burden, and costs actually involved. The charge is intended to compensate MONZUM for reasonable staff time, reconciliation, compliance, administrative processing, operational disruption, and related recovery costs caused by the erroneous transfer.

Routine BitPay payment exceptions, including ordinary underpayments and overpayments that BitPay can process through its standard payment-exception workflow, will ordinarily be handled under BitPay’s then-current procedures. BitPay may deduct applicable miner or refund fees from a payment-exception refund. MONZUM will not impose the separate administrative recovery charge described above on a routine automated payment-exception refund unless the matter requires material manual recovery or reconciliation work by MONZUM outside the standard processor workflow.

Refunds of erroneous cryptocurrency payments will be returned only through a method MONZUM reasonably determines is secure and lawful, which may include the approved payment processor or a verified cryptocurrency wallet. MONZUM is not responsible for loss caused by inaccurate wallet information supplied by the claimant. Unsupported assets, unsupported networks, transactions sent to an incorrect or unrecoverable address, or transactions that cannot technically or lawfully be recovered may be non-refundable. Nothing in this provision limits any non-waivable right or remedy provided by applicable law.

Cryptocurrency transactions may be subject to fraud prevention, sanctions, export controls, anti-money-laundering requirements, identity verification, tax rules, geographic restrictions, and payment-processor requirements. MONZUM or BitPay may reject, delay, restrict, report, refund, or otherwise handle a transaction when required by law or applicable processor policy.

This cryptocurrency payment section does not authorize any future MONZUM program involving watch-to-earn rewards, tokens, fractional digital assets, stored value, staking, wallet services, or similar financial or digital-asset products. Any such future program requires separate business, regulatory, tax, technical, and legal review and separate terms before implementation.

11. Refunds, Chargebacks, and Payment Disputes

Refund eligibility is governed by the offer, applicable cancellation/refund policy, processor/platform rules, and non-waivable law. You agree not to initiate a knowingly false or abusive chargeback for a valid charge. You may dispute a charge through rights provided by your financial institution or applicable law, and MONZUM may provide transaction evidence to the processor or financial institution in response.

11A. Returns, Refunds, Custom Orders & Final Sale Policy

ALL SALES ARE FINAL EXCEPT ELIGIBLE ELECTRONICS.

Electronics are the only merchandise eligible for return or refund under MONZUM’s standard return policy. An eligible electronics item must be returned within fourteen (14) calendar days of confirmed delivery.

If an eligible electronics item is returned within the 14-day return period in its original packaging, it is eligible for a full refund of the product purchase price, subject to any non-waivable rights, payment reversals, or adjustments required by applicable law. If an otherwise eligible electronics item is returned within the 14-day return period but is not in its original packaging, MONZUM reserves the right, to the fullest extent permitted by law, to limit the refund to fifty percent (50%) of the product purchase price. The retained amount is intended to offset shipping, handling, inspection, and restocking costs associated with the return.

After the 14-day electronics return period expires, the electronics sale is final and nonrefundable except where applicable law requires otherwise.

All other MONZUM merchandise and products are custom-order or made-to-order items. All sales of those items are final. They are nonreturnable and nonrefundable except where MONZUM expressly agrees otherwise in writing or where applicable law provides a non-waivable right or remedy.

MONZUM may require proof of purchase, order information, identity verification, return authorization, and reasonable inspection of an electronics return before approving or issuing a refund. A payment dispute or chargeback does not expand the return or refund rights stated in this policy, although nothing in these Terms limits any dispute, chargeback, warranty, or consumer-protection right that cannot lawfully be waived.

If an approved refund cannot reasonably be returned to the original payment method, MONZUM may use another lawful refund method after reasonable verification of the customer and transaction.

SMS participation is optional and uses separate consent from Terms acceptance. MONZUM may maintain separate recruiting/account and marketing programs. Messages may be sent using automated technology where disclosed. Consent to marketing SMS is not a condition of purchase, job application, or recruiting assistance.

12.1 Recruiting/Account Program

12.3 No Marketing Sharing of SMS Consent Data

We will not share your phone number with third parties or affiliates for their independent marketing or promotional purposes. SMS opt-in and phone numbers collected for SMS consent will not be shared with any third party or affiliate company for such independent marketing or promotional purposes. A contracted third-party communications provider, carrier, aggregator, or other processor may process the number solely as necessary to provide, secure, route, or administer the messaging service on MONZUM’s behalf and may not use the number for its own marketing. Separate carrier/application authorization is governed by Section 13 and is not created by SMS consent.

12.4 Opt Out, Re-Opt-In, Help, and Reassigned Numbers

Reply STOP to revoke consent-based automated SMS from MONZUM to your number. Unless you clearly limit the request and applicable law permits a narrower revocation, MONZUM will apply the revocation across its consent-based SMS programs for that number. MONZUM may send one confirmation message and, where lawful, one clarification message if needed to determine the scope of a revocation request. A STOP request does not prevent MONZUM from responding to a new message you later initiate where legally permitted. To resume consent-based messaging, use a new MONZUM opt-in flow or reply START where supported. Reply HELP to the number that sent the message, call 1-888-242-8690 for phone assistance, or email info@monzum.com. You represent that you are the subscriber or customary user of the number and will notify us if the number changes or is reassigned.

12.5 Carrier Availability

Wireless carriers are not liable for delayed or undelivered messages to the extent permitted by law. SMS availability may vary by carrier, device, and location.

13. Separate Carrier Contact Authorization

SMS consent to MONZUM does not authorize unrelated carriers to market to you. When you choose to apply for or request contact about an opportunity, MONZUM may present a separate authorization allowing MONZUM to transmit specified contact/application information to the identified carrier, employer, recruiter, or application provider and allowing that recipient to contact you about the requested opportunity, subject to the disclosure presented at that time. MONZUM will not use a general SMS checkbox as a substitute for this authorization.

14. Calls and Call Recording

Telephone calls may be routed or tracked for service, quality, security, attribution, and compliance. A call may be monitored or recorded only after notice and any consent required by applicable law. Continuing to use the Services does not waive a statutory call-recording consent requirement.

15. Intellectual Property

Except for content owned by users, licensors, carriers, creators, or other third parties, MONZUM and its licensors own all right, title, and interest in the Services and related software, designs, audiovisual works, characters, graphics, branding, trademarks, logos, text, compilations, and other materials. Subject to these Terms, MONZUM grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services for their intended lawful purpose.

16. Copyright / DMCA

MONZUM’s authoritative copyright notice-and-takedown procedure is published at https://www.monzum.com/copyright. That page, not this summary, controls the operational submission requirements. MONZUM may remove or disable content as required by law and will follow the Section 512 counter-notice process where it elects to rely on the applicable safe harbor. Repeat-infringer rules apply as described on the Copyright/DMCA page.

17. Prohibited Conduct and Security

  • Use the Services for unlawful, fraudulent, deceptive, threatening, harassing, exploitative, abusive, or rights-infringing activity.

  • Impersonate another person/entity or submit false employment, recruiting, business, payment, identity, consent, or rights information.

  • Upload malware; attempt unauthorized access; credential-stuff; circumvent authentication, paywalls, geographic controls, DRM, rate limits, or security; or probe/scan/test systems without written authorization.

  • Scrape, harvest, crawl, or commercially extract content/data beyond what is expressly authorized or permitted by law.

  • Use MONZUM content or User Content to train automated models except as expressly authorized by the rights holder and applicable terms.

  • Use job/applicant information for identity theft, unlawful discrimination, resale/data brokerage, spam, unrelated marketing, or purposes outside the authorized recruiting relationship.

  • Use the Services to send unlawful spam, robocalls, robotexts, deceptive synthetic media, or malicious content.

18. Third-Party Services

The Services may link to or integrate carriers, applicant systems, payment/crypto processors, app stores, social networks, analytics, content hosts, advertisers, and other independent services. MONZUM does not control independent third-party services. Your dealings with them are subject to their own terms and applicable non-waivable law.

19. International Use, Geographic Availability, Export Controls, and Sanctions

The Services are operated from the United States. Availability outside the United States may be restricted by content licenses, payment-provider rules, taxes, local consumer law, technical limitations, export controls, or economic sanctions. MONZUM may restrict, block, suspend, or decline access, transactions, content, payments, or accounts when reasonably necessary to comply with law or rights restrictions.

You may not use the Services in violation of U.S. export-control or economic-sanctions laws or other applicable trade restrictions. This applies to fiat and digital-asset transactions. You represent that you will not use the Services to facilitate prohibited dealings with blocked persons, sanctioned jurisdictions, or prohibited end uses. MONZUM may conduct risk-based geographic, sanctions-list, payment, or transaction screening directly or through service providers.

Nothing in these Terms eliminates mandatory consumer rights that cannot be waived under the law of your country, state, province, or territory. If a local law gives you non-waivable protections, these Terms apply only to the maximum extent allowed by that law.

20. Suspension and Termination

We may suspend, restrict, or terminate access when reasonably necessary to protect the Services, users, rights holders, partners, or MONZUM; comply with law; address sanctions/security/fraud/nonpayment; or enforce these Terms. Where required, we will provide notice or an opportunity to cure. You may stop using the Services at any time and may cancel paid subscriptions through the applicable cancellation process.

21. Accessibility

MONZUM aims to make its digital Services accessible and usable by people with disabilities. Accessibility feedback and alternative access requests may be submitted through the Accessibility page at https://www.monzum.com/accessibility, by emailing info@monzum.com with “Accessibility” in the subject line, or by calling 1-888-242-8690. Accessibility issues do not waive rights under applicable law.

22. Feedback

If you voluntarily provide ideas, suggestions, or feedback without a separate confidentiality agreement, you grant MONZUM a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for lawful business purposes without compensation or attribution, excluding personal information governed by the Privacy Policy and excluding rights expressly reserved in a creator agreement.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MONZUM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

MONZUM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ANY JOB, CARRIER, CREATOR, ADVERTISER, PRODUCT, MEDIA TITLE, DIGITAL ASSET, PAYMENT METHOD, LINK, OR THIRD-PARTY INFORMATION WILL BE ACCURATE, AVAILABLE, SUITABLE, OR PRODUCE A PARTICULAR RESULT.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of statutory consumer rights. In those jurisdictions, these disclaimers apply only to the maximum extent permitted and do not eliminate rights that cannot lawfully be waived.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONZUM AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, EMPLOYMENT OPPORTUNITY, OR DIGITAL-ASSET VALUE; OR DAMAGES ARISING FROM THIRD-PARTY CONDUCT, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONZUM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE CONSUMER SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO MONZUM FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Some jurisdictions do not allow exclusions or limitations of particular damages. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

25. Indemnification

For individual consumers, you will indemnify MONZUM only to the extent enforceable under applicable law for third-party claims arising from your unlawful conduct, User Content, infringement, fraud, or material breach of these Terms. This provision does not require you to indemnify MONZUM for MONZUM’s own unlawful conduct or liability that cannot be shifted by law.

26. Third-Party Relationship Release

To the maximum extent permitted by law, disputes between you and an independent carrier, employer, advertiser, creator, seller, payment provider, digital-asset processor, or other third party are primarily between you and that third party. Nothing in this section releases MONZUM from a non-waivable duty or from obligations in a separate written agreement.

27. Electronic Communications and Records

Where permitted, you consent to receive legally required notices and records electronically. Maintain current contact information. Electronic signatures and click-through acceptance may have the same effect as handwritten signatures to the extent permitted by law. MONZUM may retain evidence of the disclosures, versions, and acceptance events presented to you.

28. Governing Law and Mandatory Local Rights

These Terms and disputes not governed by federal law are governed by Delaware law, without regard to conflict-of-law principles, except to the extent mandatory law of your home jurisdiction provides non-waivable consumer protections. The Federal Arbitration Act governs Section 31. Nothing in this section deprives a consumer of a statutory right that governing law does not permit the parties to waive by contract.

29. Informal Dispute Resolution

Before initiating arbitration or litigation other than an eligible small-claims case, a legally protected public-injunctive-relief claim as described below, or a request for emergency injunctive relief, the claimant must send a written Notice of Dispute with the claimant’s name/contact information, relevant account/phone if any, facts and legal basis, relief requested, and personal signature. The Notice may be sent by mail to Monzum Consulting LLC, Attn: Legal/Dispute Notice, 8 The Green, Suite A, Dover, DE 19901, or by email to info@monzum.com with subject “Legal/Dispute Notice.” The parties will attempt in good faith to resolve the matter for at least 30 days. Limitations periods are tolled during that period to the extent permitted by law.

30. Court Exceptions

Either party may bring an individual claim that qualifies for small claims and remains there individually. Either party may seek temporary or emergency court relief to protect intellectual property, confidential information, security, or the status quo pending arbitration. Government agencies retain their lawful authority. Nothing prevents reports to regulators or law enforcement.

31. Binding Individual Arbitration; Jury and Class Waiver

ARBITRATION NOTICE: EXCEPT FOR THE EXPRESS EXCEPTIONS IN THIS SECTION, YOU AND MONZUM AGREE THAT COVERED DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT A JUDGE OR JURY.

YOU AND MONZUM WAIVE A JURY TRIAL AND CLASS/COLLECTIVE PROCEEDINGS TO THE FULLEST EXTENT PERMITTED BY LAW. YOU MAY OPT OUT WITHIN 30 DAYS OF FIRST AFFIRMATIVELY ACCEPTING THIS ARBITRATION AGREEMENT.

31.1 Covered Consumer Disputes

“Dispute” means a consumer claim or controversy between you and MONZUM arising out of or relating to a Consumer Service, these Terms, the Privacy Policy, communications, transactions, recruiting interactions, subscriptions, content, or advertising, whether based in contract, tort, statute, fraud, misrepresentation, or another theory. This arbitration agreement applies to disputes within the lawful scope of the agreement formed by your affirmative acceptance and is subject to the exceptions and non-waivable rights below.

31.2 AAA Consumer Rules; FAA; Registry

Arbitration will be administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules and, when applicable, its Mass Arbitration Supplementary Rules. The Federal Arbitration Act (“FAA”) governs this arbitration agreement. If AAA will not administer a dispute consistent with this agreement and applicable law, the parties will attempt to select another nationally recognized provider; otherwise a court may appoint an arbitrator as permitted by the FAA.

31.3 Procedure, Location, Fees, and Remedies

Arbitration may proceed by video, telephone, documents, or in person as the applicable rules permit. Consumer hearing location and fees will follow applicable AAA rules and law. The arbitrator may award on an individual basis remedies that would otherwise be available in court, except claims that governing law requires a court to adjudicate. The arbitrator will issue a reasoned decision when required by the rules or requested.

31.4 Class, Collective, and Representative Proceedings

Except for public injunctive relief that cannot lawfully be waived as described in Section 31.5, disputes must proceed individually. To the fullest extent permitted by law, neither party may arbitrate as a class representative/member or collective-action participant, and the arbitrator may not consolidate different individuals’ claims without their consent except for administrative coordination authorized by applicable mass-arbitration rules that does not convert the matters into class arbitration.

31.5 California Public Injunctive Relief (McGill Carve-Out)

Nothing in these Terms waives a California consumer’s right, if any, to seek public injunctive relief in a court where California law prohibits contractual waiver of that remedy. To the extent a claim for public injunctive relief must be adjudicated in court, that claim will proceed in court and, to the extent permitted by law, may be stayed while the parties arbitrate arbitrable individual claims and remedies. This carve-out does not create a right to class arbitration.

31.6 Mass Arbitration

If coordinated demands meet the AAA criteria for a mass arbitration, the AAA Mass Arbitration Supplementary Rules then in effect apply. The parties will cooperate with lawful process-arbitrator, mediation, batching, bellwether, or case-management procedures authorized by those rules. Each claimant retains an individual merits determination unless the claimant agrees otherwise or applicable law/rules provide a lawful alternative.

31.7 30-Day Arbitration Opt-Out

You may opt out of this arbitration agreement without affecting the remainder of these Terms by sending notice within 30 days after you first affirmatively accept the arbitration agreement. State your full name, the email/telephone associated with the Service, and a clear statement that you opt out of the MONZUM consumer arbitration agreement. You may send the notice by mail to Monzum Consulting LLC, Attn: Arbitration Opt-Out, 8 The Green, Suite A, Dover, DE 19901, or by email to info@monzum.com with subject “Arbitration Opt-Out.” An opt-out applies only to the person who timely submits it.

31.8 Court Decides Specified Gateway Issues; Severability

A court will decide issues that applicable law requires a court to decide, including whether an asserted public-injunctive-relief right must remain in court and any challenge to the enforceability of the class-action waiver that governing law reserves for a court. Other arbitrability/formation questions may be decided as permitted by the applicable rules and law. If a provision is unenforceable, it will be severed to the minimum extent necessary. No unenforceable class waiver will be converted into class arbitration.

31.9 Changes to Arbitration

A later amendment to this arbitration section will not apply to a dispute for which a Notice of Dispute, arbitration demand, or lawsuit was already filed before the amendment’s effective date, unless both parties agree in writing. MONZUM will provide any notice or renewed assent required by law for material arbitration changes.

32. Venue for Non-Arbitrable Matters

For non-arbitrable disputes that are not eligible small-claims matters and are not governed by a mandatory forum rule, the parties consent to state and federal courts in Delaware, subject to non-waivable consumer forum rights and the California public-injunctive-relief carve-out.

33. General Terms

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue, subject to the arbitration-specific severability rule. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; MONZUM may assign them in connection with a merger, reorganization, financing, sale, or transfer of the applicable business subject to law. These Terms, the Privacy Policy, incorporated policies, and transaction-specific disclosures form the consumer agreement unless a separate signed agreement controls.
